About Lyndon
Clients have described Lyndon Ricks as "A businessman who is also a lawyer." For more than 24 years, Mr. Ricks has served small and large businesses and helped business people with legal issues. He has primary responsibility for general counsel work, securities matters, mergers, acquisitions and divestitures (domestic and international), and a variety of other matters including executive compensation, corporate contracts, joint ventures and strategic alliances, and technology licensing. He has served colleagues as chair of the Securities Section of the Utah State Bar. Mr. Ricks' specialized skills and experience include:
- acting as outside general counsel to various business entities
- preparing limited or private offering documents for offerings exempt from registration under federal and state securities laws
- assisting clients in their acquisition, disposition, or merger transactions
- assisting clients with technology licensing
- ensuring compliance with reporting requirements under federal and state securities laws
- creating new corporations, limited liabilities companies, partnerships and other entities
- advising clients as to initial and secondary public offerings, proxy fights and tender offers
- advising clients about entity selection and formation, contract preparation and review
As a lecturer and panelist on continuing legal education seminars sponsored by the Utah State Bar and others, Mr. Ricks educates individuals starting businesses on the types of business organizations and the relative advantages and disadvantages of each and on various business and securities law topics. Mr. Ricks has acted as a registered lobbyist to represent his clients' interests before the Utah State Legislature. As a result of his membership on the City of Centerville Planning and Zoning Commission and extensive business law background, Mr. Ricks has expertise in representing clients' zoning and planning interests before local governmental authorities.
Mr. Ricks' clients cover a broad spectrum of industries including: professional minor league baseball, aftermarket automotive products, customer relations management, foreign exchange trading, wireless communications, professional employers, health and fitness equipment manufacturing, meat packaging and rendering, oil refining and sales, commercial, mortgage and investment banking, financial institutions, insurance, Internet services, computer hardware manufacturing and sales, software development and sales, electronics manufacturing, mining, survey research and data collection, entertainment, health care and real estate development.
